Hamilton Lane's team of in-house attorneys takes an active role in the careful negotiation of the limited partnership agreements that govern our clients' investments in private equity funds. Immediately upon approval by our Investment Committee, our attorneys begin a review of the documents. We frequently participate in the first closing of a fund to maximize input on key terms. Often, on behalf of our clients, Hamilton Lane is the lead investor in a fund. Utilizing our extensive experience and knowledge of market terms, our attorneys conduct a thorough review of the documents, including identifying any client-specific concerns. Our attorneys also work closely with our due diligence professionals during the process to address important business issues. After the fund’s final closing, we continue to monitor, review, and advise clients on any amendments to the partnership documents.
